PART 13 – FINANCES AND FINANCIAL CONTROL

Financial year

      58  The financial year of the Congregation shall end on December 31.

 

Financial transactions

      59  The board of deacons shall obtain prior approval from the Members of the

            Congregation before:

                     (a)     borrowing money upon the credit of the Congregation;

                     (b)     issuing, re-issuing, selling or pledging debt obligations of the Congregation;

                     (c)     giving a guarantee on behalf of the Congregation to secure performance of

                              an obligation of any person;

                     (d)     mortgaging, hypothecating, pledging or otherwise creating a security

                              interest in all or any property of the Congregation owned or subsequently
                              acquired, to secure an obligation of the Congregation.

      60  The board of deacons shall not:
                     (a)     purchase or sell any real property regardless of value;
                     (b)     make an improvement, expansion or alteration of existing facilities or fixtures
                              having a cost that exceeds 5% of the then current operating budget;
            without the prior authorization of the Members by special resolution.  

Signing authority

      61  All contracts, instruments, and other legal documents shall be signed on behalf of the
            Congregation by the individual(s) designated from time to time by the board of deacons.

Budget

      62  (1)     At each annual meeting, the board of deacons shall present a proposed
                     budget of revenues and expenditures for the coming year for approval by the
                     Members. 

            (2)     The board of deacons may continue to expend funds after the financial year-end
                     until the next annual meeting on the basis of the budget approved at the previous
                     annual meeting. 

Remuneration for services to the Congregation

      63  (1)     Deacons, coordinators, committee members and other church workers:
                     (a)     are not entitled to receive remuneration for their services to the Congregation
                              in the capacity of deacon, coordinator, committee member or other church
                              worker;                                         
                     (b)     may receive reasonable remuneration when providing services to the
                              Congregation in any capacity other than as deacon, coordinator, committee
                              member or other church worker.                         

            (2)     Any person is entitled to reimbursement for reasonable expenses incurred on
                     behalf of the Congregation. 

Annual financial statements

      64  (1)     The board of deacons shall place before the Members at every annual meeting of
                     the Congregation:         
                     (a)     financial statements for the period that began immediately after the end of the
                              last completed financial year and ended not more than four months before
                              the annual meeting;
                     (b)     the report of the auditor; and
                     (c)     any further information respecting the financial position of the Congregation. 

            (2)     Before publishing or distributing, the financial statements mentioned in subsection
                     (1) the board of deacons shall approve them and that approval shall be evidenced
                     by the signature of one or more of the signing officers designated by the board of
                     deacons under section 61. 

            (3)     The board of deacons shall include with the notice of the annual meeting described
                     in section 25 a notice stating that a copy of the financial statements may be
                     obtained from the church office free of charge.

                    

Auditor

      65  (1)     The Members shall, by ordinary resolution at each annual meeting, appoint an
                     auditor to hold office until the close of the next annual meeting. 
            (2)     The deacons shall immediately fill a vacancy in the office of the auditor.
            (3)     The auditor must meet the requirements set out in the Act.
            (4)     The remuneration of the auditor may be fixed by ordinary resolution of the
                     Members or, if not so fixed, it may be fixed by the board of deacons.
            (5)     The auditor is entitled to:
                     (a)     receive notice of every general meeting of the Congregation;
                     (b)     attend every general meeting at the Congregation’s expense; and
                     (c)     be heard on matters relating to his or her duties.
